Zimbabwe – Company Re-Registration Requirement Update

Zimbabwe introduced the Companies and Other Business Entities Act (Chapter 24:31) on the 13th of February 2020, mandating all Zimbabwean registered companies and business corporations to undergo a re-registration process with Zimbabwe’s Companies Registry.

The requirement was brought in by the authorities to establish a new and updated register of all companies and private business corporations and to remove all non-operating businesses entities.

The re-registration requirement applies to all existing companies including:

  • Private Limited Companies (PLCs)
  • Corporative Companies
  • Companies Limited by Guarantee
  • Private Business Corporations (PBCs)
Latest Developments

Whilst the Initial deadline for compliance was set as the February 13th of 2023 (later extended to the end of 2024 to give more time for companies to comply), the deadline has been further delayed due to ongoing technological and operational challenges at Zimbabwe’s Companies Office.

A revised deadline for companies to comply with re-registration process is yet to be re-confirmed and the requirements to complete the re-registration are yet to be communicated.


The Risk of Non-Compliance

All companies not re-registered by the eventual deadline will be considered non-operational and will be struck off the Companies Register.
