India – Migration of Annual Filing E-Forms to MCA V3 Portal
India’s Ministry of Corporate Affairs (MCA) has initiated a significant update to its e-filing system, migrating annual filing e-forms to the MCA v3 portal.
This transition encompasses changes to 38 forms, with key modifications to MGT-7 and AOC-4. The migration aims to streamline form filing processes and enhance data management for Indian entities.
Scope and Timeline
The migration affects all Indian entities and includes 38 forms in total:
- 13 forms for annual filing of financial statements and annual returns.
- 6 forms for auditors and cost auditors.
- 19 other forms.
The new forms went live on the MCA v3 Portal on the 14th of July 2025. The deadline for filing these new forms aligns with the existing annual filing obligations for Indian entities.
Key Changes
1. Form MGT-7 (Annual Return Filing):
- Requires certain details in Excel format (e.g., shareholder lists, meeting details).
- Integrates the previously separate MGT-8 form.
- Mandates a photograph of the company’s registered office, including latitude and longitude.
- Requires details of a designated person for liaising with beneficial owners.
2. Form AOC-4 (Financial Statement Filing):
- Incorporates board of directors’ and statutory auditors’ reports as linked forms.
- Includes AOC-1 (subsidiary details) and AOC-2 (related party transactions) as annexures.
- Pre-fills previous year’s figures (remain editable).
- Requires financial statements to accompany XBRL filings.
- Consolidates standalone and consolidated statement forms.
- Allows filing by companies under insolvency resolution.
3. Statutory Auditor-related Forms:
- Modifies ADT-1 and ADT-3 forms for auditor appointment and resignation.
- Introduces new e-form ADT-4 for reporting fraud cases to the Central Government.
These changes reflect the MCA’s ongoing efforts to facilitate ease of doing business and enhance corporate compliance procedures.
