Italy – New PEC Registration Requirements for Company Directors
The Italian government has introduced significant changes through the 2025 Budget Law (Law 207/2024) requiring all company directors to maintain a personal certified email address (PEC). This new requirement represents an important development in corporate governance and digital communication compliance in Italy.
What is PEC?
A PEC (Posta Elettronica Certificata) is Italy’s certified email system that functions as the legal equivalent of a traditional registered letter. It provides legal proof of communication delivery and receipt, serving as the official digital domicile for directors in their communications with public authorities and third parties.
Who Must Comply?
This requirement applies to all company directors and members of the Board of Directors (Cda) registered with the Italian Companies Register. Each director must have their own personal PEC address that is separate and distinct from the company’s PEC address.
Key Deadlines
- Existing Companies: Directors must register their PEC address with the Companies Register by June 30, 2025
- New Companies: Directors must provide their PEC address at the time of company incorporation
Required Actions
1. All directors of any company established in Italy must obtain an individual PEC address if they don’t already have one.
2. These PEC addresses must be registered with the Companies Register through the competent Chamber of Commerce.
3. Directors must ensure regular monitoring of their PEC mailbox.
4. The PEC address must be maintained separately from the company’s own PEC address.
The Risks of Non-Compliance
Company directors of Italian entities who fail to comply with these requirements face personal administrative sanctions ranging from €103 to €1,032.
These penalties are imposed on individual directors rather than their companies.
