Serbia – UBO Documentation Requirements: Reminder for December 2025 Deadline

The Serbian government has enhanced its Ultimate Beneficial Ownership (UBO) documentation requirements, mandating electronic submission of all relevant documentation to the Central Register by the 1st of December 2025.

This update establishes specific standards for documentation formats, certification requirements, and submission procedures in compliance with Article 12 of the UBO Law.

Key Changes

The regulatory framework requires entities to maintain precise beneficial ownership records with supporting documentation. All submissions must adhere to prescribed timelines and include current, properly certified documentation through the electronic filing system.

Scope of Application

These requirements apply to all registered legal entities in Serbia that must maintain and submit current beneficial ownership records to the Central Register.

Documentation Requirements

The Central Register requires specific documentation to verify beneficial ownership status. Entities must collect and submit at least one of the following:

  • Official public register extracts
  • Certified copies of ownership documents
  • Membership agreements
  • Founding acts proving beneficial ownership status
Documentation Standards

To ensure compliance with the new requirements, all submissions must meet strict formatting and certification criteria. The following standards apply across all documentation:

  • All documents must be less than six months old at submission
  • Foreign language documents require professional translation
  • Foreign documentation needs apostille certification
  • Foreign beneficial owners only need to provide valid passport/ID copies (no translation/certification required)
  • All documentation must be submitted in PDF format

The Central Register has established specific requirements for documentation involving foreign beneficial owners or documents originating from outside Serbia.

These requirements ensure proper verification while maintaining accessibility for international stakeholders:

  • Professional translation is required for foreign language documents
  • Apostille certification is needed for foreign documentation
  • Passport/ID copies exempt from translation/certification requirements
  • All submissions must be in PDF format
