Switzerland – Upcoming Deadline for New provisions in the Swiss Code of Obligations
The deadline for transitioning to comply with the new Swiss Code of Obligations is fast approaching.
The new provisions came into effect on the 1st of January 2023 bringing significant changes to company law in Switzerland.
Companies were given a two-year transition period to take necessary steps and update their Articles of Association (AoA) with a deadline of the 1st of January 2025.
Upon conclusion of this transition period, any provisions within a company’s AoA that are inconsistent with the prevailing law, will be deemed invalid.
