Turkey – Reminder of upcoming Annual Obligation regarding Legal Books
The Turkish Commercial Code and Communiqué on Commercial Books mandate that companies operating in Turkey must adhere to specific approval and renewal procedures for their legal books. These include:
- Minute book of board of directors/managers
- Minute book of general assembly
- Other company books related to accounting and taxation
For companies with a financial year-end of the 31st of December 2024, the renewal process for legal books must be completed by the 31st of January 2025.
Trade Registry Certificates
The original trade registry certificate (“ticaret sicil tasdiknamesi”) is crucial for the approval and renewal of relevant books. These must be submitted to the notary during the approval/renewal process.
While some notaries may be flexible, it is recommended to have the certificate ready to ensure smooth processing.

Failure to comply in a timely manner may result in sanctions against the company and/or its directors.
